Item 8.01. Other Events.

On August 10, 2015, MSCI Inc. (the “Company”) issued a press release announcing the proposed issuance of $500 million aggregate principal amount of senior notes due 2025 (the “notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The press release is filed as Exhibit 99.1 hereto and is incorporated by reference.

The notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States only to non-U.S. investors pursuant to Regulation S. The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act. This report does not constitute an offer to sell or the solicitation of an offer to buy the notes, nor shall it constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale is unlawful.

MSCI Launches Private Offering of $500 Million Senior Notes Due 2025

New York – August 10, 2015 – MSCI Inc. (NYSE: MSCI) announced today that it is proposing to issue $500 million aggregate amount of senior notes due 2025 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The proposed offering is subject to market and other conditions.

If the offering is successfully placed, MSCI intends to use the net proceeds from the offering for general corporate purposes, including, without limitation, previously announced buybacks of its common stock.

The notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States only to non-U.S. investors pursuant to Regulation S.
